Overview

Notice for U.S. Users

Section 21 contains a binding individual arbitration agreement and class-action waiver. You may opt out of Sections 21.2 through 21.5 within 30 days after first accepting Terms that contain this arbitration agreement, as described in Section 21.6.

1. Acceptance of Terms

1.1 Agreement

These Terms of Service ("Terms") are a legally binding agreement between you ("you" or "User") and Uni-X, Inc., a Delaware corporation ("Uni-X," "MemeKick," "we," "us," or "our"), governing your access to and use of the MemeKick website at memekick.com, the MemeKick mobile application, and related software, features, interfaces, and services (collectively, the "Service").

When you create an account, click or tap an acceptance control, or otherwise affirmatively agree to these Terms, you agree to be bound by them. If you do not agree, do not create an account or use features that require acceptance of these Terms.

1.2 Feature-Specific Terms and Service Rules

MemeKick may present feature-specific terms, transaction terms, disclosures, or operational rules ("Service Rules") for a particular feature, Archiving Room, transaction, promotion, market, or jurisdiction. Service Rules apply to the relevant feature or transaction. If a Service Rule conflicts with these Terms, the more specific rule controls for that feature or transaction to the extent permitted by applicable law.

1.3 Related Policies and Notices

MemeKick’s Privacy Policy, Location Services Policy, and Copyright & DMCA Policy provide important information about privacy, location practices, and copyright procedures. Those documents are separate policies or notices unless these Terms or the applicable document expressly states that a provision is incorporated into these Terms. Nothing in an internal MemeKick operating policy creates a contractual right unless these Terms or applicable law expressly provides otherwise.

2. Key Definitions

Account. a registered MemeKick user account.

Meme. digital content made available through the Service and treated by MemeKick as a Meme under the applicable Service Rules.

Title. a title, caption, label, phrase, or other eligible curation contribution associated with a Meme or Archive. A Title is a separate Content Object from the Meme with which it is associated.

User Content. Memes, Titles, descriptions, profile materials, and other content submitted by Users to the Service.

Archive. a continuing MemeKick record and relationship associated with a Meme, including current and historical states recognized by the Service. An Archive is distinct from copyright ownership in underlying User Content.

Archive Record. a historical record of a completed Archive event, which may include the applicable Title, Collector, attribution, transaction, settlement, or other event-specific information at that time.

Archive Acquisition. the completed Service process through which an eligible User becomes the current Collector of an Archive after the applicable payment and Atomic Settlement successfully complete. An Archive Acquisition does not by itself transfer copyright or other intellectual-property rights in underlying User Content.

Movement. a completed successor event in a continuing Archive that MemeKick recognizes as updating the current Archive state and adding a historical Archive Record.

Archiving Room. the MemeKick environment in which eligible Users may submit Kicks during an active selection period.

Kick. a User-submitted economic action in an Archiving Room indicating the amount or terms on which the User seeks to become the next Collector under the applicable Service Rules.

Winning Kick. the Kick selected at the close of an applicable Archiving Room. A Winning Kick is a selection state only and does not itself constitute payment, authorize a wallet transaction, transfer an Archive, complete an Archive Acquisition, or create an independent obligation to pay.

Submitted Transaction. a transaction that has been transmitted or broadcast to the applicable blockchain, payment, settlement, smart-contract, or other transaction mechanism for execution.

Atomic Settlement. the settlement process through which an authorized payment, applicable allocations, and Archive finalization are designed to complete together under the applicable Service Rules.

Creator. the User attributed by MemeKick as the Creator of a Meme. This Service role does not by itself establish copyright authorship or ownership.

Curator. the User attributed by MemeKick to an eligible Title or curation contribution. This Service role does not by itself establish copyright ownership in the underlying Meme.

Collector. the User recorded as the current Collector of an Archive after the applicable Archive Acquisition successfully completes. Collector status is a Service-recognized relationship and does not by itself transfer copyright.

Open Culture Mode. MemeKick’s cultural-participation layer, in which eligible Users may participate without activating personal Collector functionality.

Full Archive Mode. MemeKick’s optional personal Archive-acquisition layer, available only to eligible Users and enabling supported wallet-based Collector, Kick, Collect, and related Archive functions.

The Archive Commons. a non-personal, purpose-restricted economic resource administered by Uni-X for disclosed Archive-related, preservation, cultural, community, ecosystem, sponsorship, or substantially similar purposes. It is not an individual User’s personal balance, escrow account, custodial account, trust, or beneficiary arrangement.

3. Eligibility, Age, and Accounts

3.1 Minimum Age

You must be at least 13 years old and satisfy any higher minimum age required by applicable law to create an Account or use the Service. If you are under the age of legal majority where you live, you may use the Service only to the extent permitted by applicable law and with any parent or guardian consent or supervision that applicable law requires.

The Service is not directed to children under 13. If we learn that an Account belongs to a person who is not legally eligible to use the Service, we may restrict or close the Account and handle associated information as required by applicable law.

3.2 Creator, Curator, Kick, and Collector Eligibility

Eligible Users who satisfy the general minimum-age requirement may participate as Creators or Curators and may be eligible for allocations associated with those roles, subject to applicable law, account eligibility, verification requirements, and the Service Rules for the relevant event.

Submitting a Kick, authorizing payment for an Archive Acquisition, or acting as a paying Collector requires you to be at least 18 years old or the age of legal majority in your jurisdiction, whichever is higher, unless MemeKick expressly provides a legally compliant alternative flow.

3.3 Accurate Information and Account Security

You must provide accurate information when MemeKick reasonably requests information relevant to age, residence, eligibility, compliance, security, or a transaction. You may not materially misrepresent eligibility information or use the Service to evade sanctions, legal restrictions, or Service Rules.

You are responsible for safeguarding your Account credentials and for activity conducted through your Account to the extent caused by your failure to use reasonable security measures. You may not impersonate another person or obtain or use another person’s Account, wallet credentials, private keys, or seed phrase without authorization.

4. One Global Service; Modes, Availability, and Jurisdiction

4.1 One Global Service

MemeKick operates one global Service. Open Culture Mode and Full Archive Mode are participation layers within the same Account framework; they are not separate country-specific Account systems.

4.2 Open Culture Mode

Open Culture Mode allows eligible Users to browse, watch, upload Memes, submit Titles, and participate as Creators or Curators without activating personal Collector functionality. Open Culture participation does not create a personal right to receive an allocation that the applicable Service Rules direct to The Archive Commons.

4.3 Full Archive Mode

An eligible User may request activation of Full Archive Mode. MemeKick may require information or verification reasonably necessary to determine eligibility and may decline, suspend, or withdraw Full Archive functionality where reasonably necessary for legal compliance, security, fraud prevention, sanctions compliance, or supported-market operation.

4.4 Travel, Network Signals, and Feature Availability

Temporary travel or a change in network-derived location signals does not, by itself, automatically change a User’s Mode or Account identity. MemeKick may nevertheless limit or make a feature unavailable where reasonably necessary to comply with law, sanctions, court or governmental orders, security requirements, supported-market limitations, or other legitimate operational requirements.

4.5 Prospective Effect

Changes in Mode, eligibility, wallet information, or permitted future allocation destination operate prospectively. They do not retroactively rewrite a completed transaction, completed Archive Record, or allocation destination already fixed for a completed event.

5. User Content and Intellectual Property

5.1 Your Rights

As between you and Uni-X, you retain any copyright and other intellectual-property rights that you lawfully hold in your User Content. MemeKick does not acquire ownership of your User Content merely because you submit it to the Service.

5.2 Your Responsibility

You represent and warrant that you have the rights, permissions, licenses, or other lawful basis necessary to submit your User Content and grant the license below, and that your User Content and its use through the Service do not violate applicable law or another person’s copyright, trademark, privacy, publicity, or other rights. Content being widely available online, previously shared, commonly used as a meme, or technically copyable does not by itself establish a legal right to use it.

5.3 License to Operate the Service

By submitting User Content, you grant Uni-X a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, transmit, display, distribute, transcode, resize, make technical adaptations of, moderate, and otherwise use that User Content as reasonably necessary to operate, provide, secure, maintain, improve, archive, and promote the Service and to enable the features and interactions you choose to use, subject to applicable law and applicable Service settings.

5.4 Archive Continuity

If User Content becomes associated with a completed Archive event, ordinary Account deletion or voluntary Content removal does not, by itself, terminate the limited license to the extent reasonably necessary to preserve lawful Archive continuity, provenance, completed-event history, and non-infringing historical records. This limited survival does not authorize continued display of or access to underlying material where applicable law requires removal or disabling of access.

5.5 Archive and Copyright Are Separate

Creator or Curator attribution, Collector status, payment, an Archive, an Archive Record, or a blockchain record does not by itself establish authorship or transfer copyright or other intellectual-property rights in underlying User Content. Any transfer of copyright ownership requires a separate agreement and any formality required by applicable law.

5.6 Titles and Contributions

A User retains any rights the User lawfully holds in a Title or other contribution. Submitting or curating a Title does not by itself make that User a joint author of the underlying Meme or grant rights in preexisting material.

5.7 MemeKick Intellectual Property

Except for User Content and third-party materials, the Service, including the MemeKick and Uni-X names, software, interfaces, designs, documentation, databases, and other proprietary materials, is owned by or licensed to Uni-X and protected by applicable law. Except as expressly permitted by these Terms or applicable law, you may not copy, distribute, sell, license, reverse engineer, or create derivative works from the Service itself.

6. Copyright and Intellectual-Property Complaints

6.1 Copyright & DMCA Policy

MemeKick respects intellectual-property rights. Copyright notices, counter-notices, and related requests are handled under MemeKick’s Copyright & DMCA Policy, which identifies the applicable procedures and Designated Agent information.

6.2 Takedown and Historical Records

Removing or disabling access to allegedly infringing material does not necessarily require deletion of every non-infringing record associated with that material. To the extent permitted by law, MemeKick may preserve an Archive identifier, event date, Collector or Title history, transaction fact, provenance information, moderation record, or other non-infringing historical information while removing or disabling access to the underlying material. MemeKick may display a neutral notice or placeholder instead of removed material.

6.3 Repeat Infringers

MemeKick maintains and reasonably implements a policy providing for termination of repeat copyright infringers in appropriate circumstances, as described in the Copyright & DMCA Policy.

7. Wallets and Personal Economic Destinations

7.1 User-Controlled Wallets

Where you use a user-controlled wallet, you are responsible for your wallet, credentials, private keys, seed phrase, and transaction approvals. Uni-X does not need your private key or seed phrase to provide the Service and will not request that you provide them to Uni-X.

7.2 Registered Address and Connection Session

Disconnecting a wallet connection session does not automatically remove or invalidate a wallet address already registered with MemeKick or associated with a pending or completed Service record. If a valid registered address remains the applicable destination for an eligible event, the Service may use that registered address even if the wallet interface is not currently connected.

7.3 Changes Apply Prospectively

Subject to security and verification requirements, MemeKick may permit you to change a registered wallet address or other permitted future destination. A change does not alter a destination already fixed or locked for an existing event and becomes effective only as provided by the Service Rules.

7.4 No Custody of External Wallet Assets

Account or Content enforcement controls access to MemeKick-mediated functions. It does not by itself give Uni-X possession or control of assets held in your external non-custodial wallet, and MemeKick does not represent ordinary Service restrictions as a freeze, seizure, confiscation, or forfeiture of external wallet assets.

8. The Archive Commons

8.1 Nature and Purpose

The Archive Commons is a non-personal, purpose-restricted economic resource administered by Uni-X for disclosed Archive-related preservation, cultural, community, ecosystem, sponsorship, or substantially similar purposes. MemeKick separately tracks or accounts for The Archive Commons for those disclosed purposes. It is not a User Account, personal balance, escrow account, custodial account, trust, beneficiary arrangement, or individual User receivable, and no User has a withdrawal or ownership right in The Archive Commons merely because the User contributed to the Service.

8.2 Open Culture Allocations

Under the standard Open Culture rule, an allocation associated with an eligible Open Culture contribution is directed to The Archive Commons for that event. The allocation does not first become a personal amount owed to the contributor.

8.3 No Personal Receivable or Retroactive Claim

An allocation directed to The Archive Commons is not held for the contributor and does not create a personal receivable, unpaid balance, deferred compensation claim, withdrawal right, redeemable credit, temporary custody arrangement, or right to later payment. Later activation of Full Archive Mode, wallet connection, eligibility changes, or destination changes do not retroactively convert a completed Commons allocation into a personal allocation.

8.4 Voluntary Future Destination

Where MemeKick permits it, a Full Archive User may voluntarily designate The Archive Commons as the destination for future eligible allocations that would otherwise be directed to that User’s permitted personal destination. Any designation is prospective only.

8.5 Attribution and Economic Destination Are Separate

Routing an allocation to The Archive Commons does not transfer Creator, Curator, or other contribution identity to The Archive Commons. MemeKick may continue to attribute the cultural contribution to the applicable User while separately recording The Archive Commons as the economic destination for the event.

8.6 Event-Specific Destination Finality

Once an allocation destination has been fixed or locked for an event and the event is validly completed, a later Account, wallet, Mode, eligibility, destination, or policy change does not retroactively change the economic destination of that completed event. Nothing in this Section prevents MemeKick from correcting an actual processing error or taking action required by law that is legally and technically available.

9. Archiving Rooms, Kicks, Offers, Pass, and Winning Kicks

9.1 Archiving Rooms

The rules, timing, minimum requirements, eligibility conditions, and other material terms for an Archiving Room may be displayed in the Service and may vary by event.

9.2 Kicks

Submitting a Kick is subject to the eligibility, Account, Content, compliance, and transaction rules displayed by MemeKick. A Kick does not authorize MemeKick to debit your wallet or payment method automatically.

9.3 Offers and Pass

Where MemeKick makes Offer or Pass functionality available, that functionality is subject to the applicable Service Rules and to continuing Account, Content, and transaction eligibility. An Offer, Pass, or similar pre-settlement state does not itself complete an Archive Acquisition or override an ineligibility determination made before settlement.

9.4 Winning Kick

A Winning Kick is a selection state only. It does not itself constitute payment, create an independent payment debt, authorize a wallet transaction, transfer an Archive, make the selected User the Collector, or complete an Archive Acquisition. The selected User must separately complete the payment steps presented by the Service.

9.5 Outstanding Winning Kick

If a Winning Kick remains unpaid or otherwise unresolved, the associated User may be subject to the Service Rules governing unresolved Winning Kicks. MemeKick may cancel, expire, release, or otherwise resolve a Winning Kick where permitted by the applicable Service Rules, including where noncompletion results from ineligible Content, a Service failure, legal or compliance intervention, security issue, fraud concern, or another circumstance not reasonably attributable to the User.

10. Transaction Eligibility, Payment, Atomic Settlement, Allocations, Fees, and Taxes

10.1 Transaction Eligibility Before Submission

Before an Archive Acquisition transaction is submitted, MemeKick may determine whether the Account, relevant Meme, selected Title, and contemplated action are eligible to proceed through MemeKick-mediated transaction functionality. MemeKick may block submission where the applicable Account, Meme, Title, or action is ineligible under these Terms, the Service Rules, or applicable law.

10.2 Separate Payment Authorization

Payment is not automatic following a Winning Kick or other selection state. To proceed, the selected User must take the affirmative payment steps presented by the Service and authorize the applicable transaction through a supported payment mechanism.

10.3 Atomic Settlement and Failed Transactions

For an Archive Acquisition, the authorized payment, applicable allocations, and Archive finalization are designed to complete together through Atomic Settlement. If Atomic Settlement fails or reverts, the Archive Acquisition is not completed. MemeKick may permit a retry or another resolution, but a failed attempt does not by itself create a completed Archive Acquisition, transfer, or personal receivable.

10.4 Submitted Transactions

Once a transaction has become a Submitted Transaction, MemeKick does not represent that ordinary Content or Account enforcement can cancel, rewrite, or selectively modify the transaction while it is executing. The applicable blockchain, payment, settlement, smart-contract, or transaction mechanism determines whether the Submitted Transaction completes or fails. If it fails or reverts, any later retry is subject to the eligibility rules then applicable.

10.5 Meme and Title Eligibility Are Separate

A Meme and each associated Title are separate Content Objects for eligibility and enforcement purposes. Ineligibility of one does not automatically make the other ineligible unless the facts, Service Rules, or applicable law independently require that result.

10.6 Effect of an Ineligible Meme

If a Meme becomes ineligible before settlement, MemeKick may make that Meme unavailable for first or subsequent Archive-related transactions through the Service. Existing Offers, Pass actions, Kicks, or other pre-settlement transaction states relating to the ineligible Meme are not actionable while the Meme remains ineligible, and payment or settlement for an Archive Acquisition involving that Meme cannot proceed.

10.7 Effect of an Ineligible Selected Title

If a selected Title becomes ineligible before settlement while the underlying Meme remains eligible, the ineligible Title is excluded and another eligible Title may be selected under the normal Title-selection rules. The User associated with the existing Winning Kick and the Winning Kick amount or terms remain unchanged solely because of the Title substitution. If no eligible Title is available, settlement cannot proceed until an eligible Title is available under the applicable Service Rules. If the Meme itself is ineligible, settlement cannot proceed regardless of Title availability.

10.8 Post-Completion Enforcement

Once Atomic Settlement and the associated onchain or other settlement event have completed, later Content or Account enforcement may change current display, access, recommendation, or future Service permissions, but does not by itself reverse the completed transaction or erase or rewrite associated blockchain history. If a completed Meme or selected Title is later disabled, MemeKick may use a neutral placeholder while preserving the applicable historical Archive Record.

10.9 Allocation Destinations

For an eligible event, MemeKick may determine and lock the applicable allocation destinations before settlement under the Service Rules then in effect. A later wallet, Account, Mode, or destination change does not retroactively alter a destination already locked for that event.

10.10 Fees, Allocations, and Transaction Terms

The payment method or asset, network, amount, role-based allocations, Uni-X fees, third-party or network fees, and other material transaction terms are those disclosed or made available for the applicable transaction. MemeKick may change fees or allocation rules prospectively, subject to applicable law and transaction-specific terms already accepted.

10.11 Taxes, Reporting, and Withholding

You are responsible for taxes, reporting duties, and other governmental obligations arising from your use of the Service or transactions, except taxes imposed directly on Uni-X. MemeKick may collect information, report transactions, or apply legally required withholding, deduction, or tax treatment through a supported process where required by applicable law. If a legally required treatment is not supported for a contemplated transaction, MemeKick may make that transaction unavailable or require another supported process rather than completing it inconsistently with applicable law.

10.12 Finality and Refunds

Completed blockchain or other settlement transactions may be irreversible. Except where required by law or expressly provided by MemeKick for a particular transaction, MemeKick does not guarantee that a completed transaction can be cancelled, reversed, or refunded.

11. Archives, Archive Records, and Collector Status

11.1 Continuing Archive

An Archive may continue across multiple completed events. A later change in the current Collector, active Title, or other current Archive state does not necessarily create a replacement Archive or require deletion of prior Archive Records.

11.2 Current and Historical States

MemeKick may distinguish an Archive’s current state from its historical states. Later Account, wallet, eligibility, Collector, Title, display, or other changes do not by themselves retroactively alter the historical meaning of an earlier completed Archive Record. MemeKick may correct erroneous metadata, comply with legal obligations, maintain security, or change presentation without treating those actions as a new historical event.

11.3 Collector Status

Collector status is a Service-recognized relationship associated with an Archive. It does not by itself grant copyright or other intellectual-property rights in underlying User Content, equity or ownership in Uni-X, an ownership or beneficiary interest in The Archive Commons, or any right not expressly provided by the Service for that Archive.

11.4 No Investment Promise

MemeKick does not promise or guarantee that any Archive, Meme, Title, digital record, or Collector status will increase in value, remain liquid, have a secondary market, generate profit, or be accepted by any third party. Nothing in the Service is investment, financial, legal, or tax advice.

11.5 External Records

Some Archive-related information may be recorded on or referenced by a public blockchain or another independently operated system. Uni-X may not have the technical ability or authority to delete, reverse, or rewrite a valid external record. The continued existence of an external record does not require MemeKick to continue displaying or providing access to associated underlying Content through systems under its control.

12. Prohibited Conduct, Content Moderation, Reporting, and Review

12.1 Prohibited Conduct

MemeKick may review, limit distribution of, make unavailable, de-index, remove from controlled interfaces, or disable access to User Content when reasonably necessary to enforce these Terms or Service Rules, protect Users or third parties, address legal or intellectual-property complaints, maintain Service integrity, or comply with law. MemeKick is not required to pre-screen every item of User Content before it becomes available.

When MemeKick makes a Meme or Title unavailable as an enforcement action, the affected Content Object may also become ineligible for new transactions through MemeKick as described in Section 10. A report or signal does not automatically determine that a violation occurred; MemeKick may evaluate context and relevant facts before taking a non-emergency enforcement action.

12.3 Service Rules

MemeKick may publish or present feature-specific or in-product Service Rules governing particular Content, community, transaction, reporting, or safety functions. Service Rules are not necessarily separate public legal policies and may be presented within the relevant product flow.

12.4 Content Moderation Methods, Reporting, and Review

MemeKick may identify potential violations through User reports, rights-holder or legal notices, information obtained through Service operations, and automated or human review.

MemeKick may use automated systems to detect, classify, prioritize, rank, flag, or otherwise assist in reviewing Content or activity for safety, fraud, security, legal, or Service-integrity purposes. In approved circumstances, automated systems may also apply limited technical or protective measures.

MemeKick also uses qualified human review for material, complex, contested, or escalated enforcement matters where appropriate. Where applicable law requires a decision or complaint to be reviewed under human supervision or not solely by automated means, MemeKick will provide the required review.

Users and other eligible persons may report Content or activity through electronic reporting methods made available by MemeKick. Where applicable law requires MemeKick to provide a statement of reasons, internal complaint mechanism, appeal or review process, information concerning automated moderation, or information about other available means of redress, MemeKick will provide the required information or procedure.

MemeKick is not required to disclose confidential fraud signals, security-sensitive information, proprietary classifier thresholds, reporter identities protected by law, or other information whose disclosure is not legally required and could compromise safety, security, privacy, or enforcement integrity.

13. Sanctions, Legal Restrictions, and Compliance

Because Uni-X is a U.S. company, MemeKick must comply with applicable U.S. sanctions and other laws, as well as other laws that apply to the Service. You may not use the Service, directly or indirectly, in a manner that would cause Uni-X or another person to violate applicable sanctions or law, or to evade a legal or Service-level restriction.

MemeKick may use reasonably available Account, network, blockchain, transaction, and third-party information for security, fraud prevention, sanctions, and legal-compliance purposes. MemeKick may make transaction functionality or other Service functionality unavailable where reasonably necessary for compliance. Service-level restrictions do not by themselves represent control over assets held in an external non-custodial wallet.

14. Third-Party Services and Networks

The Service may interact with third-party wallets, payment providers, blockchain networks, storage providers, infrastructure, or other services. Those services may be subject to their own terms and privacy practices. Uni-X does not control third-party systems and, to the maximum extent permitted by law, is not responsible for their independent availability, security, fees, changes, or acts or omissions.

Third-party networks and services may experience outages, congestion, forks, reorganizations, delays, errors, security incidents, or changes outside Uni-X’s control. You are responsible for reviewing transaction details and understanding the risks of any third-party system you choose to use.

15. Account Enforcement, Suspension, and Termination

15.1 Grounds for Account Enforcement

MemeKick may suspend or terminate an Account if we reasonably determine that the User violated these Terms or applicable Service Rules, poses a material security, fraud, safety, or integrity risk, provided materially inaccurate eligibility information, is subject to a legal restriction, or if action is reasonably necessary to protect Users, Uni-X, the Service, or applicable law.

15.2 Effect of Suspension

When an Account is suspended as an Account-level enforcement action, MemeKick may block the User from active participation and transaction actions through the Service, including creating or uploading Content, submitting Titles, participating in community features, submitting Kicks, Collecting, using Offers or Pass, or initiating new Archive-related transactions. Unless legal, security, or technical circumstances require otherwise, a suspended User may remain able to sign in for the limited purposes of receiving notices, reviewing available Account information, contacting MemeKick, submitting an appeal or inquiry, exercising privacy rights, or using an applicable DMCA or legal process.

15.3 Effect of Termination

Termination ends the User’s normal future participation in the Service. Termination does not by itself reverse a completed settlement, erase a completed Archive Record, change a completed allocation to The Archive Commons, or delete an independently maintained external record. MemeKick may preserve or provide limited channels needed for appeals, privacy requests, copyright procedures, legal notices, or other rights required by applicable law.

15.4 Notice and Review

MemeKick may provide notice of a material Content or Account action by email to the address associated with the Account or by another electronic method made available by the Service. Where MemeKick offers an appeal or review process, the User may use the method identified in the notice or Service. MemeKick may act without advance notice when reasonably necessary for emergency safety, security, fraud prevention, legal compliance, preservation of evidence, or protection of the Service.

16. Account Deletion, Content Removal, and Records

16.1 Account Deletion

You may request deletion of your Account through the methods MemeKick makes available, subject to applicable law. Account deletion does not necessarily require deletion of every transaction, Archive Record, compliance record, or other information that Uni-X is permitted or required to retain.

16.2 Account Deletion and User Content Are Separate

Account deletion and removal or disabling of User Content are separate actions. Where Content removal is available or legally required, MemeKick may remove, disable, de-index, anonymize, or otherwise restrict access to Content through systems under its control. Ordinary Account deletion or voluntary Content removal does not necessarily erase a lawful completed Archive event or non-infringing historical record.

16.3 Legally Required Takedowns

Notwithstanding any Archive-continuity provision, MemeKick may remove or disable access to underlying material where required by copyright law, court order, or other legal obligation. To the extent permitted by law, Uni-X may separately retain non-infringing historical facts, compliance records, and evidence of actions taken in response to the request.

16.4 External and Legal Records

Public blockchain or other independently maintained records may remain outside Uni-X’s ability to delete or modify. Uni-X may also retain transaction, settlement, security, fraud, sanctions, tax, accounting, intellectual-property, dispute, safety, or other legal records for as long as reasonably necessary for the applicable purpose or as required by law.

MemeKick’s Privacy Policy explains how Uni-X collects, uses, discloses, retains, and protects personal information. The Location Services Policy provides additional information about location and network-derived information. Please review those documents before using the Service. Where applicable law requires additional consent or disclosure for a particular data practice, MemeKick will provide it separately.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." UNI-X DISCLAIMS WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY.

UNI-X DOES NOT WARRANT THAT THE SERVICE, USER CONTENT, ANY ARCHIVE, WALLET, NETWORK, PAYMENT OR SETTLEMENT PROCESS, OR THIRD-PARTY SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, AUTHENTIC, OR FREE FROM LOSS. UNI-X DOES NOT WARRANT THAT A USER WHO SUBMITS CONTENT OWNS OR CONTROLS ALL RIGHTS IN THAT CONTENT.

NOTHING IN THESE TERMS EXCLUDES ANY WARRANTY, RIGHT, OR REMEDY THAT CANNOT LAWFULLY BE EXCLUDED.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNI-X AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF DIGITAL ASSETS, LOSS OF GOODWILL, OR SIMILAR LOSSES ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF UNI-X ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) US$100 OR (B) THE AMOUNTS YOU PAID DIRECTLY TO UNI-X AS SERVICE FEES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, EXCLUDING AMOUNTS PAID TO OTHER USERS OR THIRD PARTIES. THIS LIMITATION DOES NOT APPLY TO LIABILITY THAT APPLICABLE LAW DOES NOT PERMIT UNI-X TO LIMIT OR EXCLUDE.

20. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Uni-X and its officers, directors, employees, affiliates, and agents from third-party claims, liabilities, damages, losses, and reasonable costs arising from your User Content, your unlawful or unauthorized use of the Service, your material violation of these Terms, or your violation of another person’s rights. This Section does not require a consumer to provide indemnification to the extent prohibited by applicable law.

21. Dispute Resolution and Governing Law

21.1 Informal Resolution

Before starting arbitration, the party raising a dispute must provide the other party written notice describing the dispute and requested relief and allow 30 days for a good-faith effort to resolve it. This requirement does not prevent either party from seeking urgent provisional relief where available. To the extent permitted by law, applicable filing deadlines are tolled during this 30-day period.

21.2 Individual Arbitration for U.S. Users

If your primary residence is in the United States, you and Uni-X agree, to the fullest extent permitted by law, that disputes arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration rather than in court, except as provided below.

The arbitration will be administered by the American Arbitration Association ("AAA") under its applicable Consumer Arbitration Rules. If AAA is unavailable or declines to administer for a reason other than Uni-X’s failure to comply with applicable AAA consumer requirements, JAMS will administer the arbitration under its applicable consumer arbitration procedures, or the parties may agree to another provider. If AAA declines to administer because Uni-X failed to comply with applicable AAA consumer requirements, the U.S. User may elect to proceed in court. The Federal Arbitration Act governs this agreement to arbitrate. The arbitrator may award any individual remedy that would be available in court under applicable law. Arbitration fees and costs will be allocated under the applicable provider rules and applicable law, and Uni-X will pay amounts the rules or law require Uni-X to pay. Judgment on an arbitration award may be entered in any court with jurisdiction.

21.3 Exceptions

Either party may bring an individual claim in small claims court if the claim qualifies. Claims concerning infringement or misuse of copyrights, trademarks, patents, trade secrets, or other intellectual-property rights may be brought in a court of competent jurisdiction. Nothing in this Section requires arbitration of a claim or remedy that applicable law gives a party a non-waivable right to pursue in court, including any non-waivable right to public injunctive relief.

21.4 Individual Proceedings and Class-Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, COVERED DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT THROUGH A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR ARBITRATION. THIS WAIVER DOES NOT ELIMINATE ANY RIGHT THAT APPLICABLE LAW MAKES NON-WAIVABLE.

21.5 Jury Trial Waiver

For disputes subject to arbitration, you and Uni-X waive the right to have the dispute decided by a judge or jury in court.

21.6 Arbitration Opt-Out

A U.S. User may opt out of Sections 21.2 through 21.5 by sending an email to contact@uni-x.co with the subject line "Arbitration Opt-Out" within 30 days after first accepting Terms that contain this arbitration agreement. The notice must identify the User and clearly state the decision to opt out. A timely opt-out does not affect any other provision of these Terms.

21.7 Severability of Arbitration Terms

If a court or arbitrator determines that a particular claim, remedy, or portion of this Section cannot lawfully be arbitrated or waived, that determination applies only to the affected claim, remedy, or provision to the extent required by law, and the remaining enforceable portions continue in effect. Any non-arbitrable claim or remedy may proceed in court after completion of arbitrable matters unless applicable law requires otherwise.

21.8 Governing Law and Court Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs Section 21.2 and mandatory consumer-protection or other non-waivable law remains applicable. Any dispute not required to be arbitrated will be subject to the state or federal courts located in Delaware, except where applicable law requires another forum.

22. Changes to the Service and These Terms

MemeKick may add, remove, or modify features, supported networks or payment methods, eligibility rules, settlement mechanisms, allocation rules, moderation methods, or market availability. MemeKick may update these Terms from time to time. For material changes, we will provide reasonable notice and obtain additional consent where required by applicable law.

Changes to allocation rules, eligibility, Content or transaction rules generally apply prospectively and do not rewrite completed transactions or completed allocations. A material change to Section 21 will not apply to a dispute for which either party gave written notice before the change became effective, unless both parties agree otherwise.

Your continued use of the Service after updated Terms become effective constitutes acceptance only where permitted by applicable law and the method of notice and assent is legally sufficient.

23. Miscellaneous

These Terms, together with feature-specific terms or Service Rules that these Terms expressly make part of the agreement for the relevant feature or transaction, constitute the agreement between you and Uni-X regarding the Service. The Privacy Policy, Location Services Policy, and Copyright & DMCA Policy are separate policies or notices except to the extent a particular provision is expressly incorporated into these Terms.

If any provision is held unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law. You may not assign or transfer your rights or obligations under these Terms without Uni-X’s prior written consent. Uni-X may assign these Terms in connection with a merger, reorganization, financing, sale of assets, corporate transaction, or transfer of the Service, subject to applicable law.

A failure by Uni-X to enforce a provision is not a waiver. Headings are for convenience only. Nothing in these Terms creates an employment, partnership, joint venture, agency, fiduciary, trustee, or beneficiary relationship between you and Uni-X solely by reason of your use of the Service or participation as a Creator, Curator, or Collector.

MemeKick may provide notices electronically where permitted by law. Provisions that by their nature should survive termination—including intellectual-property, completed transaction and Archive Record provisions, The Archive Commons, disclaimers, limitations of liability, indemnification, and dispute-resolution provisions—survive termination.
