Privacy at a Glance

• Open Culture Mode does not require a personal wallet.
• Uni-X does not need and will not ask for your private key or seed phrase.
• The MemeKick iOS app may ask for permission to use your device location when you upload content. The location is reduced to approximately 1 kilometer on your device before it is sent, and MemeKick does not request background location access.
• Public Archive and public-blockchain information may remain visible or persistent outside Uni-X's control.
• As of the Effective Date, MemeKick does not sell personal information, share personal information for cross-context behavioral advertising, or process personal information for targeted advertising as those terms are defined by applicable U.S. state privacy laws.

1. Scope and Who We Are

This Privacy Policy explains how Uni-X, Inc., a Delaware corporation ("Uni-X," "MemeKick," "we," "us," or "our"), collects, uses, discloses, retains, and otherwise processes personal information in connection with the MemeKick website at memekick.com, the MemeKick mobile application, and related features, interfaces, and services (collectively, the "Service").

For purposes of applicable privacy laws, Uni-X is the controller, business, or other responsible entity for personal information covered by this Policy unless a different role is stated at the point of collection. This Policy does not govern the independent privacy practices of third-party wallets, blockchain networks, payment providers, app stores, websites, or other services that you choose to use with MemeKick.

Some information on MemeKick is public by design. If you publish User Content, use public-facing profile features, participate in an Archive, or complete activity recorded on a public blockchain, information associated with that activity may be visible to other Users or the public as described below.

2. Notice at Collection: Personal Information We Collect

The categories below describe personal information we may collect, receive, create, infer, or maintain depending on how you use MemeKick. We do not collect every category from every User, and a category listed below does not mean that we collect every example within that category. Open Culture participation does not require a personal wallet.

2.1 Information We Do Not Need From Your Wallet

Uni-X does not need your private key or seed phrase to provide MemeKick and will not ask you to provide them to Uni-X. Do not send private keys or seed phrases to us. A wallet connection session and a registered public wallet address are separate: disconnecting a session does not necessarily remove an address already associated with your Account or with a pending or completed Service record.

2.2 Verification and Potentially Sensitive Information

Certain Full Archive or other regulated features may require additional verification. If so, we will describe the information required at or before collection. Depending on the verification method, Uni-X may receive a verification result, risk signal, or limited identity information rather than the full document or data reviewed by a provider. Where information is treated as sensitive personal information or special-category data under applicable law, we use it only for the disclosed eligibility, security, fraud-prevention, legal-compliance, safety, or other purpose permitted by law.

2.3 Metadata in Uploaded Files

Files you upload can contain embedded technical metadata, such as timestamps, device information, or EXIF and similar metadata. Separately from the approximate device location described in Section 8, information embedded in a file you choose to upload may be included in the file received by the Service. We may process such metadata as reasonably necessary to receive, transcode, secure, troubleshoot, moderate, or store the upload. We do not use embedded precise-location metadata for ordinary location-based targeting or advertising. You should remove metadata you do not want included in an upload before submitting it.

3. Sources of Personal Information

We may obtain personal information from:

• you, including when you create or use an Account, submit User Content, request Full Archive functionality, connect or register a wallet address, contact us, submit a report or appeal, or complete a transaction;
• your device, with your permission, when you upload content in the MemeKick iOS app (approximate device location, as described in Section 8);
• your use of the Service, including device, network, cookie, log, event, usage, attribution, recommendation-exposure, and security information generated through Service interactions;
• public blockchains and other public sources associated with wallet addresses, transactions, creators, or activity relevant to the Service;
• service providers that support hosting, infrastructure, security, communications, analytics, measurement, verification, compliance, payments, transaction functionality, or content storage;
• other Users, rights holders, reporters, claimants, or counterparties, for example when they submit reports, copyright notices, disputes, or information concerning Content or activity;
• publicly accessible creator, professional, social, or business sources where MemeKick conducts creator discovery, partnership research, integrity review, or related legitimate business activity; and
• lawful governmental, regulatory, sanctions, fraud-prevention, security, or other compliance sources where reasonably necessary.

If the GDPR, UK GDPR, or another applicable law requires notice when we obtain personal information from a source other than you, we will provide the required information within the applicable period unless a lawful exception applies.

4. How We Use Personal Information

We process personal information only for purposes reasonably related to operating MemeKick, providing requested functionality, protecting Users and the Service, developing the Service, and meeting legal obligations. Depending on the context, those purposes include:

• providing, maintaining, personalizing, and improving the Service;
• creating and administering Accounts, profiles, Open Culture participation, and optional Full Archive functionality;
• hosting, displaying, moderating, preserving, disabling, and restoring User Content, attribution, Archive states, and Archive Records as permitted by law;
• evaluating Account, Content, and transaction eligibility and applying legal, sanctions, safety, security, fraud, and supported-market restrictions;
• registering permitted public wallet addresses, verifying wallet control where relevant, processing user-authorized transactions, documenting settlement status, and applying event-specific allocation destinations;
• recording allocations directed to The Archive Commons while separately preserving Creator, Curator, Collector, or other contribution attribution;
• detecting, investigating, and preventing fraud, manipulation, spam, abuse, account takeover, security incidents, sanctions evasion, intellectual-property infringement, and other prohibited or unlawful activity;
• providing support and sending Account, security, transaction, enforcement, privacy, legal, and other Service communications;
• operating analytics, first-party event logging, acquisition attribution, DIL exposure measurement, discovery, ranking, and recommendation systems;
• developing, testing, troubleshooting, monitoring, and improving products, systems, and security;
• conducting creator discovery, partnership research, and outreach using lawful public or provided information;
• sending promotional communications where permitted by law and consistent with your choices;
• complying with legal, regulatory, accounting, tax, reporting, court, governmental, preservation, and dispute-resolution obligations; and
• protecting the rights, safety, property, and integrity of Users, Uni-X, the Service, and third parties.

We may use information in aggregated or de-identified form where it is maintained in a form that is not reasonably linkable to an identified or identifiable person, subject to applicable law. We do not attempt to re-identify data that we maintain as de-identified except as permitted by law to test whether de-identification is effective.

5. Data Minimization, Purpose Limitation, and Sensitive-Trait Inferences

We seek to collect and retain personal information that is reasonably necessary and proportionate for the purposes described in this Policy. Access to sensitive or high-risk information is limited based on role and need where appropriate.

MemeKick may derive ordinary content-interest or relevance signals from Service activity to operate discovery and recommendation features. As of the Effective Date, MemeKick does not use ordinary recommendation systems to infer sensitive traits such as racial or ethnic origin, religious or philosophical beliefs, political affiliation or ideology, health status, sexual orientation or sex life, or comparable legally protected sensitive traits for personalized content recommendations or advertising. If this practice materially changes, we will update the applicable disclosure and provide any notice, consent, or rights required by law before the changed practice applies.

6. Open Culture, Full Archive, and The Archive Commons

6.1 Open Culture Mode

Open Culture Mode allows eligible Users to participate culturally without activating personal Collector functionality. A personal wallet is not required for basic Open Culture activities such as eligible browsing, viewing, Meme submission, Title submission, or Creator and Curator participation.

6.2 Full Archive Mode

If you request Full Archive Mode or another personal transaction feature, we may process additional information reasonably necessary to evaluate eligibility, register or verify an eligible public wallet destination, protect the Service, and complete user-authorized transactions. Eligibility may be reevaluated when there is a concrete legal, compliance, safety, security, fraud, or Account-integrity reason to do so.

6.3 The Archive Commons

When the applicable Service Rules direct an Open Culture allocation to The Archive Commons, MemeKick may retain records showing the contribution, attribution, event, and economic destination. Contribution identity and economic destination are separate records. The amount is not treated as a personal User balance first and then transferred to The Archive Commons. A later wallet connection, Mode change, or eligibility change does not require Uni-X to rewrite a completed historical record or reclassify a completed Commons allocation as a personal balance.

7. Public Information, Archives, and Blockchain Records

7.1 Information You Make Public

User Content, profile information, Creator or Curator attribution, current or historical Archive information, Collector status, public reactions, and other information may be visible publicly when the relevant Service feature is public. Information made public can be viewed, copied, indexed, cached, recorded, or redistributed by others outside Uni-X's control.

7.2 Public Blockchain Records

If you use a blockchain-enabled feature, a public wallet address, transaction reference, transaction amount or status, Archive-related reference, or other transaction information may be submitted to or read from a public blockchain. Public blockchain data may be replicated across independent systems, visible globally, linkable with other public information, and effectively persistent.

Uni-X can act on information and interfaces under its control, but may not have the technical ability or legal authority to delete, reverse, or modify a valid record maintained on an independent public blockchain. A privacy or deletion request therefore does not necessarily erase independently maintained blockchain records. Where appropriate and legally required, MemeKick may stop displaying, indexing, linking to, or otherwise facilitating access to affected information through systems under Uni-X's control.

7.3 Archive History and Content Removal

Account deletion, removal or disabling of User Content, and treatment of a completed Archive Record are separate matters. To the extent permitted by law, Uni-X may retain non-infringing historical facts, transaction records, attribution, moderation records, and other information needed to preserve lawful completed Archive history, comply with legal obligations, resolve disputes, prevent fraud, or maintain Service integrity even when underlying Content is removed or access to it is disabled.

7.4 External Storage and Copies

MemeKick may use third-party or decentralized storage or distribution systems in connection with Archive-related functionality. Uni-X can manage copies, pins, caches, gateways, links, and interfaces under its control, but may not be able to delete copies independently cached, re-pinned, replicated, or stored by third parties. Disabling public access through MemeKick does not guarantee deletion from every external system.

8. Location and Network Information

When you create or upload content in the MemeKick iOS app, the app may ask for permission to access your device's location while you are using the app. If you grant permission, the app reduces the latitude and longitude to two decimal places (approximately 1 kilometer) on your device before sending them to us, together with general area names for that location. We store this approximate location with the content you upload. The MemeKick iOS app does not send your precise device coordinates to us, and MemeKick does not request background location access. Location permission is optional; if you decline, you can still create and upload content. For details, see Section 2.2 of the Location Services Policy.

We may also infer an approximate area, such as country, region, or comparable network-derived area, from an IP address or other network information for security, fraud prevention, localization, service availability, sanctions, compliance, analytics, or similar operational purposes.

An IP-derived or network-derived location signal is not the same as precise device location and is not, by itself, treated as conclusive proof of nationality, citizenship, residence, domicile, or exact physical location. A temporary change in IP address or network-derived location does not, by itself, automatically switch an Account between Open Culture Mode and Full Archive Mode.

MemeKick may use location or network signals as one factor in risk, security, availability, or eligibility review and may request additional information where reasonably necessary. If MemeKick introduces a feature that requests device location more precise than the approximate device location described above, we will provide the applicable notice and request permission where required before collecting it.

9. Cookies, Similar Technologies, Analytics, Attribution, and Recommendations

9.1 Cookies and Similar Technologies

We may use cookies, local storage, software development kits, pixels, or similar technologies for authentication, security, preferences, analytics, attribution, diagnostics, and Service operation. Where applicable law requires consent for a particular non-essential technology, we will request consent before using it or otherwise provide the legally required control.

9.2 Measurement and Attribution

MemeKick may use first-party and service-provider analytics to understand product usage, acquisition sources, feature performance, errors, retention, and other Service metrics. Depending on implementation, this may include anonymous or pseudonymous event identifiers, Account-linked events after sign-in, referral or campaign information, DIL exposure logs, and core behavior events. We use such information for Service operation, measurement, security, troubleshooting, product development, and related legitimate business purposes.

9.3 Recommendations and Profiling

MemeKick may use automated systems to rank, recommend, personalize, classify, or prioritize Content and to assist with fraud, security, safety, or policy review. These systems may use activity, context, exposure, interaction, and ordinary content-interest signals.

As of the Effective Date, MemeKick does not use a solely automated system to make a final material Account-enforcement determination as a routine practice without human review. Where applicable law treats a use of automated decisionmaking or profiling as legally significant or gives you a specific right to notice, opt out, obtain information, make representations, or obtain human intervention, MemeKick will provide the required process when and where applicable.

9.4 Marketing Communications

We may send promotional communications where permitted by law. You can opt out of promotional email using the unsubscribe method provided in the message or by contacting us. Opting out of marketing does not prevent us from sending non-promotional communications reasonably necessary for your Account, security, transactions, enforcement, legal notices, privacy requests, or the Service.

10. How We Disclose Personal Information

We may disclose personal information to the following categories of recipients for the purposes described in this Policy:

• service providers and contractors that support cloud hosting, infrastructure, security, communications, analytics, measurement, storage, verification, payments, compliance, content processing, or other Service functions;
• public blockchain networks and related infrastructure when you authorize or use blockchain-enabled functionality;
• other Users or the public when you use public features or when information is part of a public Archive, attribution, profile, or other public Service feature;
• rights holders, claimants, affected Users, or reporters when disclosure is reasonably necessary to process a copyright, safety, legal, dispute, or enforcement matter and is permitted or required by law;
• professional advisers, auditors, insurers, financing sources, corporate transaction counterparties, or potential acquirers where reasonably necessary and subject to appropriate confidentiality or legal safeguards;
• law-enforcement, courts, regulators, governmental bodies, or other persons where we reasonably believe disclosure is required or permitted by law, legal process, sanctions, safety, security, or protection of rights; and
• another entity in connection with a merger, acquisition, reorganization, financing, bankruptcy, sale of assets, or transfer of all or part of the Service, subject to applicable law.

We may also disclose information at your direction or with your consent.

11. No Sale, Cross-Context Behavioral Advertising Sharing, or Targeted Advertising

As of the Effective Date, MemeKick does not sell personal information as "sale" is defined by applicable U.S. state privacy laws, share personal information for cross-context behavioral advertising as defined by California law, or process personal information for targeted advertising as defined by applicable U.S. state privacy laws.

This statement does not limit disclosures to service providers, contractors, public blockchain networks, other Users through public features, or other recipients described in this Policy when those disclosures are not legally treated as a sale, cross-context behavioral advertising sharing, or targeted advertising.

If these practices materially change, we will update the applicable disclosures and provide any legally required notice, opt-out mechanism, preference-signal processing, or other choice before the changed practice applies.

12. Data Retention, Deletion, and Legal Holds

We retain personal information only for as long as reasonably necessary and proportionate for the purposes described in this Policy, taking into account the nature and sensitivity of the information, the Service relationship, transaction and Archive integrity, security and fraud risks, legal and accounting requirements, applicable limitation periods, disputes, and whether information forms part of a lawful completed Archive or public blockchain record.

When you request Account deletion, Uni-X will delete or de-identify personal information as required by applicable law, subject to lawful exceptions and technical limits. We may retain information that we are required or permitted to keep, including completed transaction or Archive Records, records necessary to prevent fraud or abuse, copyright and safety records, legal and compliance records, and independently maintained public-blockchain data.

Where appropriate, data subject to litigation hold, preservation request, statutory preservation requirement, security investigation, or another legal hold may be excluded from ordinary deletion processes for the required period. When retention is no longer justified, we delete, de-identify, or otherwise dispose of information consistent with applicable law and operationally reasonable processes.

13. Security

We use reasonable administrative, technical, and organizational safeguards designed to protect personal information against unauthorized access, use, alteration, loss, destruction, or disclosure, taking into account the nature of the information and the risks involved. Measures may include access controls, logging, restricted evidence handling, secure infrastructure, monitoring, and security review as appropriate.

No system, transmission method, wallet, blockchain network, storage environment, or security measure is completely secure, and we cannot guarantee absolute security. You are responsible for protecting your Account credentials and any user-controlled wallet credentials. Uni-X will not ask you to provide your private key or seed phrase.

14. International Data Transfers

Uni-X is based in the United States, and MemeKick is designed as a global Service. Personal information may therefore be processed in the United States and other countries where Uni-X, its service providers, or other recipients operate. Those countries may have data-protection laws that differ from those in your jurisdiction.

Where applicable law restricts international transfers under Uni-X's control, we use an applicable lawful transfer mechanism. Depending on the circumstances, this may include an adequacy decision or regulation, approved contractual safeguards such as the European Commission Standard Contractual Clauses, the UK International Data Transfer Agreement or UK Addendum, or another mechanism permitted by law.

Publication of information to a public blockchain or another system that operates independently of Uni-X is different from a conventional transfer to a service provider controlled by contract. We describe the public and persistent nature of those systems in Section 7.

15. Your Privacy Rights and Choices

Depending on where you live and subject to applicable conditions and exceptions, you may have rights regarding your personal information, including rights to request access, correction, deletion, portability, or specific information about processing; object to or restrict certain processing; withdraw consent where processing is based on consent; opt out of certain sale, sharing, targeted advertising, or profiling practices where applicable; limit certain uses of sensitive personal information; and appeal certain decisions concerning a privacy request.

15.1 Submitting a Request

You may submit a privacy request through Account controls made available by MemeKick or by contacting us at contact@uni-x.co. To protect Users and prevent unauthorized disclosure, we may take reasonable steps to verify your identity and authority before completing a request. Verification may use Account access, email confirmation, transaction or Account information, or another proportionate method. If a request specifically concerns a wallet-associated record, a signed message or other proof of wallet control may be offered where appropriate; we do not require a wallet merely because you use Open Culture Mode.

15.2 Authorized Agents

Where applicable law permits an authorized agent to submit a request for you, we may require reasonable evidence of the agent's authority and may also verify your identity directly where permitted by law.

15.3 Limits on Deletion

Privacy rights are subject to legal exceptions and technical limits. For example, Uni-X may be permitted or required to retain transaction, Archive, fraud, security, tax, safety, legal, intellectual-property, or compliance records, and Uni-X may be unable to delete information maintained on an independent public blockchain. We will not use these limitations to avoid taking action on systems and information that Uni-X actually controls when applicable law requires action.

15.4 Non-Discrimination

MemeKick will not unlawfully discriminate against you for exercising a privacy right. Some features require information that is necessary to provide the feature, verify eligibility, complete a transaction, secure the Service, or comply with law; if that information cannot lawfully be processed, the relevant feature may no longer be available.

15.5 Appeals and Privacy Complaints

If we deny a privacy request and applicable law gives you a right to appeal, you may appeal by replying to the denial or by contacting contact@uni-x.co with the subject line "Privacy Appeal." We will review and respond as required by applicable law.

You may also submit a privacy complaint to contact@uni-x.co with the subject line "Privacy Complaint." Where UK data-protection complaint requirements apply, MemeKick will provide an electronic complaint method, acknowledge a complaint within the period required by UK law, and respond without undue delay.

16. Additional Disclosures for U.S. State Privacy Laws

If a U.S. state comprehensive privacy law applies to Uni-X and to your personal information, the categories in Section 2 describe categories of personal information we may collect; Section 3 describes sources; Section 4 describes business or commercial purposes; Section 10 describes categories of recipients; Section 11 describes our current sale/sharing/targeted-advertising status; and Sections 12 and 15 describe retention criteria and rights.

Applicable state laws may provide rights to know or access information, correct inaccurate information, delete information, obtain a portable copy, limit certain uses of sensitive personal information, opt out of covered sales, sharing, targeted advertising, or profiling, use an authorized agent, or appeal a denied request. We honor those rights when they apply.

Where applicable law requires recognition of a valid opt-out preference signal for a covered practice, we will process the signal as required. Because MemeKick does not currently engage in sale, cross-context behavioral advertising sharing, or targeted advertising as described in Section 11, an opt-out from those practices does not change a practice that MemeKick is not currently performing.

16.1 California Automated Decisionmaking

California regulations effective January 1, 2026 include requirements concerning certain uses of automated decisionmaking technology, with ADMT-specific compliance timing that can extend to January 1, 2027 for covered significant decisions. To the extent those requirements apply to a MemeKick use of ADMT, Uni-X will provide the required pre-use notice, access to information, opt-out or other rights, and related safeguards by the applicable compliance date. Ordinary content ranking or recommendations are not represented by this Policy as covered significant decisions unless the applicable law treats the particular use that way.

17. Additional Information for EEA Users

17.1 Legal Bases

If the EU General Data Protection Regulation (GDPR) applies to our processing, Uni-X relies on one or more legal bases depending on the purpose:

17.2 EEA Rights

Subject to applicable conditions and exceptions, you may have rights of access, rectification, erasure, restriction, portability, objection, and withdrawal of consent. You may object to processing based on legitimate interests and, where applicable, direct marketing. You also have the right to lodge a complaint with a competent data-protection supervisory authority.

17.3 Automated Processing

Where GDPR rules concerning automated decision-making or profiling apply, we provide the information, safeguards, and rights required by applicable law. This may include meaningful information about relevant logic and consequences and, for decisions subject to applicable restrictions, an opportunity for human involvement or to contest the decision.

17.4 EEA Representative

If Article 27 GDPR requires Uni-X to appoint a representative in the European Economic Area, Uni-X will designate the representative and make the representative's contact information available before or when the obligation applies. Uni-X's primary privacy contact remains contact@uni-x.co.

18. Additional Information for UK Users

18.1 UK Legal Bases and Rights

If the UK GDPR and Data Protection Act 2018, as amended by the Data (Use and Access) Act 2025 and other applicable UK law, apply to our processing, we use the legal bases described in Section 17.1 as applicable and provide the rights and safeguards required by UK law. You may also have the right to complain to the UK Information Commissioner's Office.

18.2 Significant Automated Decisions

Where UK law permits a significant decision based solely on automated processing, MemeKick will apply the safeguards required by applicable UK law, which may include providing information about the decision, enabling you to make representations, and enabling meaningful human intervention or review. Special-category information is subject to additional restrictions and safeguards.

18.3 UK Privacy Complaints

Where the UK statutory privacy-complaint procedure applies, MemeKick will provide an electronic method to make a complaint, acknowledge the complaint within the legally required period, and respond without undue delay. You may also complain directly to the Information Commissioner's Office where applicable.

18.4 UK Representative

If applicable UK law requires Uni-X to appoint a UK representative, Uni-X will designate the representative and make the representative's contact information available before or when the obligation applies. Uni-X's primary privacy contact remains contact@uni-x.co.

19. Children and Teen Users

MemeKick is not directed to children under 13, and Users must satisfy the minimum age stated in the Terms of Service and any higher minimum age required by applicable law. We do not knowingly collect personal information from a child under 13 in circumstances prohibited by applicable law. If we learn that we have done so, we will take appropriate steps to restrict or close the Account and delete or otherwise handle the information as required by law.

Users under the age of legal majority may be subject to additional consent, supervision, privacy, and feature restrictions. Paying Collector functionality, Kick/payment authorization, and other adult transaction functions are subject to the age and eligibility rules described in the Terms. Creator and Curator participation may be available to younger eligible Users subject to applicable law. Where applicable law requires parent or guardian authorization for a particular processing activity, we will obtain it or will not make that activity available.

20. Third-Party Services

The Service may link to or interact with third-party wallets, networks, payment services, app stores, websites, analytics or infrastructure providers, storage providers, or other services. Their privacy practices are governed by their own notices and are not controlled by Uni-X. We encourage you to review the privacy information provided by those services before using them.

21. Changes to This Privacy Policy

We may update this Privacy Policy to reflect changes in the Service, law, technology, or our privacy practices. We will post the updated Policy and revise the "Last updated" date. If a change is material, we will provide additional notice or obtain consent where required by applicable law.

Material changes do not retroactively make prior processing lawful if applicable law required a different legal basis, notice, consent, or choice at the time of processing. Where a changed practice affects a right such as sale/sharing, targeted advertising, precise location, or significant automated decision-making, we will provide the legally required disclosure or control before the changed practice applies.
