1. Scope and Copyright Principles
This Copyright & DMCA Policy ("Policy") explains how Uni-X, Inc. ("Uni-X," "MemeKick," "we," "us," or "our") handles copyright notices, counter-notifications, repeat-infringer matters, and related requests concerning material made available through the MemeKick website, mobile application, and related services (collectively, the "Service").
MemeKick Service roles and Archive status do not determine legal copyright authorship or ownership. A person may be identified as a Creator or Curator without necessarily owning copyright in the underlying Meme, Title, or other material. Likewise, becoming a Collector, acquiring an Archive, making a payment, receiving an allocation, or having an event recorded on a blockchain does not by itself transfer copyright or other intellectual-property rights.
Copyright ownership, licenses, exceptions, limitations, and remedies are determined by applicable law, the MemeKick Terms of Service, and any separate express agreement that applies.
2. Fair Use, Permission, and Other Lawful Uses
Copyright law permits some uses of copyrighted works without the copyright owner's permission, including uses that qualify as fair use or another statutory exception or limitation. Fair use is context-specific and can include criticism, comment, news reporting, teaching, scholarship, research, parody, and other legally protected uses depending on the facts.
Before submitting a copyright notice, the complaining party should consider whether the challenged use may be authorized by the copyright owner, a license, fair use, or another provision of law. MemeKick does not adjudicate copyright ownership or finally determine whether a use is fair; those questions may ultimately be resolved by the parties or a court.
3. Reporting Copyright Infringement
If you believe that material available through MemeKick infringes a copyright that you own or are authorized to enforce, you may send a written notification of claimed infringement to MemeKick's Designated DMCA Agent under 17 U.S.C. § 512(c)(3). An effective notice should include substantially the following:
- a physical or electronic signature of the copyright owner or a person authorized to act on the owner's behalf;
- identification of the copyrighted work claimed to have been infringed, or a representative list if multiple copyrighted works at a single online location are covered;
- identification of the material claimed to be infringing or the subject of infringing activity, together with information reasonably sufficient for MemeKick to locate it, such as a URL, Meme ID, Title ID, Archive ID, or other specific identifier;
- information reasonably sufficient to contact the complaining party, including name, mailing address, telephone number, and email address;
- a statement that the complaining party has a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
- a statement that the information in the notice is accurate and, under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of the exclusive right allegedly infringed.
4. Designated DMCA Agent
Copyright notices and counter-notifications should be sent to the following designated contact. The information below also identifies the service provider and alternate names the public may use to locate the Designated Agent.

Please send copyright notices and counter-notifications to the Designated Agent. Notices sent only through unrelated support, social-media, or business channels may be delayed. MemeKick may request additional information reasonably necessary to identify the material, identify the copyrighted work, verify authority, or determine whether a notice substantially complies with applicable law.
5. Deficient or Incomplete Notices
A communication that does not substantially contain the information required by applicable law may not function as an effective DMCA notice. When a notice is materially incomplete, unclear, or does not provide information reasonably sufficient to locate the material, MemeKick may request clarification or missing information before treating the communication as an effective statutory notice.
Nothing in this Section prevents MemeKick from taking independent action under the Terms of Service, another policy, or applicable law when the reported material creates a separate legal, safety, security, fraud, or Service-integrity concern.
6. MemeKick's Response to a Copyright Notice
When MemeKick receives a notification that substantially complies with applicable law and applies to material for which action is required, MemeKick will respond as required by law, which may include acting expeditiously to remove the material or disable access to it through systems under Uni-X's control.
MemeKick will take reasonable steps to notify the affected subscriber or User promptly when material residing at that User's direction is removed or disabled in response to a qualifying notice, as applicable. The notice may include information about the copyright complaint and the counter-notification process.
Removal or disabling of access is not, by itself, a final determination by MemeKick that copyright infringement occurred. MemeKick may separately remove or restrict material under the Terms of Service, safety rules, legal obligations, or other applicable policies. Material that becomes eligible for restoration under the DMCA may remain unavailable if a separate and independently valid legal or policy basis requires or permits that result.
7. Meme and Title Are Separate Content Objects
For MemeKick enforcement and transaction eligibility, a Meme and each associated Title are separate Content Objects. A copyright claim concerning a Title does not automatically establish that the associated Meme infringes, and a claim concerning a Meme does not automatically establish that every associated Title infringes. MemeKick may therefore act on the specific Content Object identified by the notice unless the notice, facts, or applicable law support broader action.
If a Title is disabled before settlement while the underlying Meme remains eligible, that Title may be excluded from selection while another eligible Title may be selected under the normal Service Rules. A Title-specific copyright action does not, by itself, change the existing Winning Kick User or Winning Kick amount or terms.
If a Meme itself is disabled before settlement, MemeKick may make that Meme unavailable for first or subsequent Archive-related transactions through the Service. Offers, Pass actions, Kicks, or other pre-settlement transaction states relating to the disabled Meme are not actionable while the Meme remains ineligible, and payment or settlement cannot proceed through MemeKick for that Meme.
8. Archives, Historical Records, and Removed Material
MemeKick distinguishes between underlying expressive material and the historical fact that an Archive or completed Service event occurred.
When access to material is removed or disabled for copyright reasons, MemeKick may, to the extent permitted by law, retain non-infringing historical or compliance information associated with the relevant Archive or event. This may include an Archive or event identifier, dates or timestamps, transaction or settlement facts, Collector history, non-infringing attribution, an unaffected Title, and records of moderation or legal action.
MemeKick may display a neutral status such as "Content unavailable" or "[Title unavailable]" instead of removed material. If particular text, images, thumbnails, previews, metadata, links, CIDs, or other materials are themselves subject to a valid claim or would continue to provide access to disabled material, MemeKick may remove, disable, de-index, or stop serving those items through systems under its control. Archive continuity does not authorize continued access to infringing material where applicable law requires removal or disabling.
9. Public Blockchain, IPFS, Caches, and Other External Records
Certain Archive, transaction, or reference information may exist on a public blockchain, distributed storage system, third-party cache, or another independently operated system. MemeKick may not have the technical ability or legal authority to delete, reverse, or rewrite information or copies maintained outside Uni-X's control.
That limitation does not prevent MemeKick from acting on systems it controls. Depending on the circumstances, MemeKick may stop serving affected material through MemeKick-controlled interfaces or gateways, remove links or previews, de-index Content from discovery, stop controlled pinning or replication, purge controlled caches where reasonably available, or otherwise disable access through the Service.
MemeKick does not guarantee deletion of copies independently downloaded, cached, stored, re-pinned, replicated, or redistributed by third parties.
10. Counter-Notification
If material you provided was removed or disabled as a result of a copyright notice and you believe the action resulted from mistake or misidentification, you may send a written counter-notification to MemeKick's Designated Agent under 17 U.S.C. § 512(g)(3). An effective counter-notification should include substantially the following:
- your physical or electronic signature;
- identification of the material that was removed or to which access was disabled, and the location at which it appeared before removal or disabling;
- a statement under penalty of perjury that you have a good-faith belief that the material was removed or disabled as a result of mistake or misidentification;
- your name, address, and telephone number; and
- a statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located, or, if your address is outside the United States, for any judicial district in which Uni-X may be found, and that you will accept service of process from the person who submitted the original notification or that person's agent.
A counter-notification is a legal communication. If it is effective, MemeKick will forward a copy to the person who submitted the original copyright notice. Accordingly, the contact information and statements contained in your counter-notification may be disclosed to that person as required by the statutory process.
11. Processing an Effective Counter-Notification
Upon receipt of an effective counter-notification, MemeKick will promptly provide the person who submitted the original notification with a copy of the counter-notification and inform that person that MemeKick will replace the removed material or cease disabling access to it in 10 business days, unless MemeKick's Designated Agent first receives notice that the complaining party has filed an action seeking a court order to restrain the affected User from engaging in infringing activity relating to the material.
Absent such notice of a filed action, MemeKick will replace the material or cease disabling access to it not less than 10 and not more than 14 business days after receipt of the effective counter-notification, subject to any independent legal or policy basis that separately requires or permits the material to remain unavailable.
If MemeKick receives timely notice that the complaining party has filed the required court action, MemeKick may maintain the disablement while the legal dispute proceeds, consistent with applicable law and any later court order, claimant withdrawal, settlement, or other lawful resolution.
12. Claimant Withdrawal or Retraction
A complaining party may notify the Designated Agent that it withdraws or retracts a copyright complaint. MemeKick may verify the withdrawal and may restore affected material when appropriate. A withdrawal does not require restoration if a separate copyright notice, court order, legal obligation, safety rule, or independent policy basis supports continued restriction.
13. Repeat Infringers and Standard Technical Measures
MemeKick maintains and reasonably implements a policy providing for suspension or termination, in appropriate circumstances, of Users who are repeat copyright infringers. MemeKick may consider the circumstances of each case, including valid notices, counter-notifications, court determinations, repeated unauthorized uploads, attempts to evade prior copyright actions, and other relevant information.
MemeKick does not treat the mere receipt of a copyright complaint as a final judicial determination of infringement, and this Policy does not establish a fixed public numerical strike threshold. Where applicable, MemeKick accommodates and does not interfere with standard technical measures within the meaning of 17 U.S.C. § 512(i).
14. Misrepresentations
Copyright notices and counter-notifications are legal communications. Under 17 U.S.C. § 512(f), a person who knowingly and materially misrepresents that material or activity is infringing, or that material was removed or disabled by mistake or misidentification, may be liable for resulting damages, including costs and attorneys' fees. Submit a notice or counter-notification only when you have a good-faith basis for doing so.
15. No General Monitoring Promise; Other Legal Bases
MemeKick does not promise to monitor every item of User Content or affirmatively search for every possible copyright infringement. Nothing in this Policy limits MemeKick's ability to use reports, rights-holder notices, automated tools, human review, or other lawful methods to identify potential infringement or other violations.
MemeKick may preserve evidence and compliance records where reasonably necessary for copyright procedures, disputes, fraud prevention, litigation, legal holds, or other lawful purposes. Good-faith reporting is not penalized merely because MemeKick or another party later reaches a different legal conclusion.
16. Other Intellectual-Property and Rights Complaints
This Policy primarily addresses copyright claims under the U.S. Digital Millennium Copyright Act. Trademark, publicity-right, privacy-right, impersonation, counterfeit, or other legal complaints may be handled under the MemeKick Terms of Service, another applicable process, or by contacting contact@uni-x.co. A copyright notice should not be used as a substitute for a different legal claim when copyright is not the relevant right.
17. Statutory Framework and No Guarantee of Safe-Harbor Status
This Policy is designed to support MemeKick's copyright-compliance procedures, including procedures described in 17 U.S.C. § 512. Whether a statutory limitation on liability or other defense applies to a particular activity depends on the facts and applicable law. Nothing in this Policy is an admission that a particular statutory safe harbor applies, and the absence of safe-harbor protection would not eliminate any other defense or right available to Uni-X or another party under applicable law.
18. Changes to This Policy
MemeKick may update this Policy to reflect changes in applicable law, the Service, storage or transaction architecture, or MemeKick's copyright-compliance procedures. We will post the updated Policy and revise the "Last updated" date. Material changes will be communicated as required by applicable law.
